About the position

As a Tax Manager in the Transaction Advisory Services practice at Sikich, you will play a crucial role in providing strategic tax advice throughout the M&A lifecycle. This position involves overseeing tax due diligence processes, developing tax structuring solutions, and advising clients on the tax implications of various deal structures. You will work closely with clients and M&A professionals to minimize tax risks and maximize deal value, while also mentoring junior staff and contributing to client development activities.

Responsibilities

  • Lead the execution of buy-side and sell-side tax due diligence engagements, identifying historical tax risks and providing exposure estimates.
  • Develop tax structuring solutions for mergers, acquisitions, or divestitures.
  • Advise clients on tax implications of deal structures, financing arrangements, and post-deal integration activities.
  • Prepare tax models showing tax impacts to both buyers and sellers.
  • Assist in consulting projects such as Sec. 382 ownership change analyses and transaction cost analyses.
  • Train and mentor staff and senior colleagues in M&A tax.
  • Participate in new client development activities.
  • Stay updated on legislative and regulatory developments and publish M&A tax thought leadership.
  • Deliver exceptional client service on multiple engagements, anticipating client needs and ensuring satisfaction.

Requirements

  • CPA or JD required
  • 5+ years of M&A tax experience in a public accounting, consulting, or law firm setting
  • Significant expertise with US federal income taxation of C corporations, S corporations, and partnerships
  • Understanding of state and local tax, non-income taxes, and international tax
  • Excellent oral and written communication skills
  • Exceptional tax research skills
  • Ability to maintain strong client relationships and oversee project management aspects of client engagements
  • Ability to thrive in a fast-paced, dynamic environment.
